Conservation Easements and Renewable Energy in New York: A Balancing Act

New York has positioned itself as a leader in renewable energy development. The State has committed to an ambitious transition toward a carbon-free electric grid while simultaneously preserving its agricultural lands, forests, wetlands and other environmentally significant resources. These dual objectives occasionally converge—and sometimes conflict—when renewable energy projects are proposed on land subject to conservation easements.

For land trusts, municipalities, developers and landowners, understanding the legal relationship between conservation easements and renewable energy development has become increasingly important as utility-scale solar, battery energy storage systems and transmission infrastructure continue to expand across New York.

Conservation Easements Under New York Law

Unlike traditional easements, conservation easements are designed to preserve identified conservation values in perpetuity by restricting development or certain uses of real property. Although the landowner retains ownership of the property, the easement is typically held by a qualified land trust or governmental entity responsible for monitoring the property and enforcing the easement’s restrictions. Because these restrictions are intended to run with the land indefinitely, the language contained in the easement document often determines how future land uses—including those that may not have been contemplated when the easement was drafted—will be evaluated.

Renewable Energy Development Continues to Expand Across New York

The pace of renewable energy development in New York has accelerated significantly over the past decade. Large-scale solar facilities, wind energy projects, battery storage systems and new electric transmission infrastructure have become increasingly common throughout rural communities. Many of these projects are proposed on working farms or privately owned forestland—the same prospects frequently protected through conservation easements. As a result, conservation easement holders are increasingly confronted with questions that existing easement language may not clearly answer:

Does the easement prohibit commercial solar facilities? May agricultural operations install rooftop or ground-mounted solar systems to offset on-farm energy consumption? Can new utility easements or transmission facilities be accommodated without impairing the property’s conservation values?

In many cases, the answers depend on the specific language of the easement, the stated conservation purposes and New York law governing conservation easements.
 
Drafting Matters More Than Ever

Many conservation easements currently in existence were drafted before renewable energy became a significant land use issue. While broad prohibitions on “commercial development” or “structures” may appear straightforward, they may not adequately address modern renewable energy technologies. When drafting new conservation easements—or amending existing ones where legally appropriate—careful consideration should be given to whether renewable energy facilities should be expressly prohibited, expressly permitted under defined circumstances, limited to uses supporting agricultural activities, or subject to approval by the easement holder based upon objective conservation standards. Thoughtful drafting provides certainty for both landowners and land trusts while reducing the likelihood of future disputes.

Stewardship Responsibilities in a Changing Regulatory Environment

Conservation easements are not self-enforcing. Land trusts have continuing obligations to monitor protected properties, review proposed activities, and ensure that the easement’s conservation purposes are preserved over time. As renewable energy technologies continue to evolve, stewardship responsibilities increasingly require organizations to evaluate projects that present novel legal and practical questions. For example, a rooftop solar array serving an existing agricultural operation may have a substantially different impact than a utility-scale photovoltaic installation covering dozens of acres of conserved farmland. Likewise, battery storage facilities, new substations or access roads may implicate conservation values beyond the physical footprint of the improvements.

Documenting the basis for stewardship decisions and applying consistent review standards can help land trusts fulfill both their legal obligations and their fiduciary responsibilities to donors, members and the public.

Reconciling Conservation with New York’s Clean Energy Goals

The expansion of renewable energy infrastructure and the permanent protection of environmentally significant lands are both important components of New York’s environmental policy. These objectives need not be mutually exclusive. Rather, they require careful legal analysis that considers the purpose of each conservation easement, the proposed use of the property and the long-term conservation values the easement was intended to protect. Proactive drafting and thoughtful stewardship policies can help avoid unnecessary conflict while preserving flexibility where renewable energy projects are consistent with the property’s conservation purposes.

As renewable energy development continues throughout New York, conservation easements will remain an essential tool for protecting agricultural lands, forests, wildlife habitat and open space. At the same time, land trusts and landowners will increasingly encounter proposals involving solar facilities, battery storage systems and related infrastructure that were rarely contemplated when many existing easements were created. Careful drafting, informed stewardship and a thorough understanding of New York’s conservation easement laws can help ensure that these permanent protections continue to serve their intended purpose while adapting to an evolving energy landscape.
